TERMS OF SERVICE & BETA ACCESS AGREEMENT

PLEASE READ THESE TERMS CAREFULLY BEFORE USING PLANSHIELD. BY CLICKING "I AGREE" BELOW, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BuildShield ("Company," "we," "us," or "our") governing your access to and use of PlanShield, an AI-powered construction drawing analysis platform ("Service"). If you do not agree to these Terms, you may not access or use the Service.

2. BETA SERVICE — USE AT YOUR OWN RISK

2.1 The Service is currently provided in a beta or pre-release state. It is offered for evaluation and feedback purposes only.

2.2 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

2.3 AI-GENERATED ANALYSIS DISCLAIMER. The Service uses artificial intelligence to analyze construction drawings and identify potential issues. ALL RESULTS, FINDINGS, PITFALLS, RISK SUMMARIES, QUANTITY TAKE-OFFS, AND RECOMMENDATIONS PRODUCED BY THE SERVICE ARE GENERATED BY AI AND MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ACKNOWLEDGE AND AGREE THAT:

   (a) AI-generated findings are NOT a substitute for review by a licensed architect, engineer, contractor, or other qualified construction professional;
   (b) You will independently verify all findings before relying on them for any construction, bidding, contracting, or financial decision;
   (c) The Company makes no representation that the Service will identify all issues, defects, code violations, or risks present in any drawing set;
   (d) Any action you take based on the Service's output is taken entirely at your own risk.

2.4 LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, CONSTRUCTION DEFECTS, COST OVERRUNS, PROJECT DELAYS, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

2.5 The Company's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the claim.

3. INTELLECTUAL PROPERTY & CONFIDENTIALITY

3.1 Ownership. The Service, including all software, algorithms, AI models, user interfaces, workflows, business logic, branding, and associated documentation, is the exclusive proprietary property of BuildShield and is protected by United States and international intellectual property laws, including copyright, trade secret, and patent law.

3.2 Restricted Use. Access to the Service is granted solely for your internal business evaluation and use. You expressly agree that you will NOT, directly or indirectly:

   (a) Copy, reproduce, reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying methodology of the Service;
   (b) Use the Service as inspiration, reference, or basis to develop, build, or commercialize any competing product, platform, tool, or service that performs substantially similar functions;
   (c) Share, disclose, or transfer your login credentials, access rights, or any non-public features of the Service to any third party not authorized by the Company;
   (d) Use the Service to train, fine-tune, or improve any artificial intelligence or machine learning model without the Company's prior written consent;
   (e) Remove, obscure, or alter any proprietary notices, branding, or copyright markings within the Service.

3.3 Confidentiality. You acknowledge that the Service contains trade secrets and confidential business information belonging to BuildShield. You agree to maintain the confidentiality of any non-public aspects of the Service and to use at least the same degree of care to protect such information as you use to protect your own confidential information, but in no event less than reasonable care.

3.4 Feedback. If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you hereby grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback without any obligation to you.

4. PERMITTED USE & RESTRICTIONS

4.1 You may use the Service solely for lawful purposes and in accordance with these Terms.

4.2 You agree not to:
   (a) Upload any drawings, documents, or files that you do not have the legal right to share or analyze;
   (b) Attempt to gain unauthorized access to any portion of the Service or its underlying infrastructure;
   (c) Use the Service in any manner that could damage, disable, overburden, or impair the Service;
   (d) Use automated scripts, bots, or scraping tools to access the Service.

5. UPLOADED CONTENT

5.1 You retain ownership of all construction drawings and documents you upload to the Service ("User Content").

5.2 By uploading User Content, you grant the Company a limited, non-exclusive license to process, analyze, and store your User Content solely for the purpose of providing the Service to you.

5.3 You represent and warrant that you have all necessary rights, licenses, and permissions to upload and analyze the User Content through the Service.

5.4 The Company will not share your User Content with third parties except as required to operate the Service or as required by law.

6. SUBSCRIPTION & BILLING

6.1 Access to the Service requires a paid subscription following any applicable free trial period. Subscription fees are billed in advance on a monthly basis.

6.2 All fees are non-refundable except as expressly required by applicable law or as otherwise stated in the Company's refund policy.

6.3 The Company reserves the right to modify subscription pricing upon thirty (30) days' prior notice.

6.4 SCAN ALLOWANCE — NO ROLLOVER. Each paid subscription plan includes a monthly scan allowance (currently 1,000 MB of plan documents per billing cycle). This allowance is provided on a use-it-or-lose-it basis. Any unused portion of the monthly scan allowance expires at the end of each billing cycle and does not carry over, accumulate, or roll over to any subsequent billing period. No credit, refund, or other compensation will be issued for unused scan allowance. The Company reserves the right to adjust the monthly scan allowance at any time upon thirty (30) days' prior notice.

7. TERMINATION

7.1 The Company reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms.

7.2 Upon termination, your right to access the Service immediately ceases. Sections 2, 3, 5, and 8 of these Terms shall survive termination.

8. GOVERNING LAW & DISPUTES

8.1 These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

8.2 Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

9. CHANGES TO TERMS

The Company reserves the right to modify these Terms at any time. When material changes are made, you will be required to review and accept the updated Terms before continuing to use the Service. Your continued use of the Service after such acceptance constitutes your agreement to the revised Terms.
